1. Introduction

Welcome to Wealthos. These Terms of Service ("Terms") govern your access to and use of the Wealthos platform, including our website, mobile applications, and related services (collectively, the "Service") provided by Wealthos ("we", "us", or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Service.

2. Acceptance of Terms

By creating an account, accessing, or using Wealthos, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

You must be at least 18 years old to use our Service. By using Wealthos, you represent and warrant that you are of legal age to form a binding contract and meet all eligibility requirements.

3. Description of Service

Wealthos is a personal wealth tracking and financial planning platform that allows you to:

• Connect and track multiple financial accounts from European banks via secure Open Banking integrations
• View your total wealth across all accounts with automatic multi-currency conversion
• Set and track financial goals with automatic progress updates
• Run financial simulations and forecast your wealth under different scenarios
• Interact with an AI assistant for financial insights and assistance
• Manually add and update account balances if you prefer not to connect bank accounts

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

4. User Accounts

4.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree not to share your account password with any third party or allow unauthorized access to your account. We are not liable for any loss or damage arising from your failure to protect your account information.

5. Use of Service

5.1 Permitted Use

You may use the Service solely for your personal, non-commercial use in accordance with these Terms. You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations.

5.2 Prohibited Activities

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to the Service or any related systems or networks
• Interfere with or disrupt the Service or servers connected to the Service
• Use automated systems (bots, scrapers) to access the Service without our express written permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Share, resell, or sublicense access to the Service to any third party
• Use the Service to transmit any viruses, malware, or harmful code
• Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity

6. Payment Terms

6.1 Subscription Fees

Access to the Service requires a paid subscription. Current pricing is displayed on our website and may be updated from time to time. By subscribing, you agree to pay the applicable fees as described at the time of purchase.

6.2 Billing and Renewal

Subscriptions are billed annually in advance. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for renewal fees.

6.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until the end of the period you have paid for.

Refunds are provided at our sole discretion and in accordance with applicable consumer protection laws. If you believe you are entitled to a refund, please contact us at support@wealthos.xyz.

6.4 Payment Processing

Payments are processed by Stripe, our third-party payment processor. By providing payment information, you agree to Stripe's terms and conditions. We do not store your full payment card details.

7. Bank Account Connections

Wealthos offers the ability to connect your bank accounts via Open Banking APIs provided by GoCardless, a regulated third-party provider. When you connect a bank account:

• You authorize us to access read-only account balance information from your connected accounts
• We never have access to your bank login credentials or the ability to initiate transactions
• Bank connections are established through secure, PSD2-compliant Open Banking protocols
• You can disconnect bank accounts at any time through Wealthos or directly through your bank
• We are not responsible for the availability or accuracy of data provided by your bank or third-party providers

Important: You are responsible for ensuring that connecting your accounts to Wealthos complies with your bank's terms of service. We are not liable for any issues arising from your bank's policies or restrictions.

8. AI Assistant

Wealthos includes an AI assistant feature powered by third-party large language model (LLM) providers, including but not limited to Mistral AI and Anthropic. When you use the AI assistant:

• Your messages and prompts are sent to third-party AI servers to generate responses
• The AI assistant provides general information and insights based on your financial data but does not constitute financial, investment, tax, or legal advice
• AI-generated responses may contain errors or inaccuracies; you should verify important information independently
• You agree not to share sensitive personal information (such as passwords, social security numbers, or full bank account numbers) with the AI assistant
• Your use of the AI assistant is subject to the terms and policies of our AI providers, including Mistral AI's Terms of Service, Mistral AI's Usage Policy, and Anthropic's Terms of Service

We use commercial API services from our AI providers, and your conversation data is not used to train their AI models. For more information about how each provider handles your data, please refer to Mistral AI's Privacy Policy and Anthropic's Privacy Policy.

9. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Wealthos and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission.

10. User Content

You retain ownership of any data, information, or content you provide to the Service ("User Content"), including financial data, goals, and preferences. By using the Service, you grant us a limited, non-exclusive license to use, store, and process your User Content solely for the purpose of providing and improving the Service.

You are solely responsible for your User Content and warrant that you have all necessary rights to provide such content. We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable.

11. Disclaimers

11.1 Service Availability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

11.2 Financial Information

Wealthos is a financial tracking and planning tool, not a financial advisor. The Service provides information and projections based on data you provide, but:

• We do not provide financial, investment, tax, or legal advice
• Financial projections and simulations are estimates and should not be considered guarantees
• You should consult with qualified professionals for financial, investment, or tax advice
• We are not responsible for any financial decisions you make based on information from the Service

11.3 Third-Party Services

The Service integrates with third-party services, including but not limited to banks (via Open Banking), payment processors (Stripe), AI service providers (including Mistral AI and Anthropic), and analytics providers (PostHog). We are not responsible for the availability, accuracy, or practices of these third-party services. Your use of third-party services is subject to their respective terms and conditions.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Wealthos Digital and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers or data
• Any errors or omissions in the Service
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or similar issues

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Wealthos and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, violation of these Terms, or infringement of any rights of another party.

14. Termination

14.1 Termination by You

You may terminate your account at any time by deleting your account through the Service settings or by contacting us at support@wealthos.xyz. Upon termination, your access to the Service will cease immediately.

13.2 Account Deletion and Data Removal

You have the right to delete your account and all associated data at any time. When you delete your account:

• All your personal data, including account information, financial data, connected bank accounts, goals, and AI conversation history, will be permanently and irreversibly deleted
• Your subscription will be cancelled and no further charges will be made
• You will not receive a refund for any unused portion of your subscription, unless required by applicable consumer protection laws
• This action cannot be undone, and your data cannot be recovered after deletion

To delete your account, navigate to your account settings within the Service and select the option to delete your account, or contact us at support@wealthos.xyz.

14.3 Termination by Us

We reserve the right to suspend or terminate your account and access to the Service immediately, without prior notice, if you violate these Terms, engage in fraudulent or illegal activity, or for any other reason we deem necessary to protect the Service or other users.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Sweden.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
